Welcome to www.ketazo.com (hereinafter “website” or “ketazo.com”). This document describes the terms of Use and conditions that govern the use of this website by all users and for any registration and service available at www.ketazo.com. This website has been developed and run by the company KETAZO ONLINE SERVICES P.C. operating under the business name KETAZO P.C. (hereinafter “KETAZO” or “the Company”, “we”, “our” or “us”).

Please read these terms and conditions carefully before your registration on “ketazo.com” and/or use of any services available on “ketazo.com”. All users need to understand that by registering with our website they accept these terms and conditions in full as they are valid at the time of their registration or as they might change from time to time. By accessing or using the Website, whether as a registered member or visitor of the Website, you agree to be bound by these Terms. If you do not agree to the terms of use, you must immediately stop using it.

2. DEFINITIONS

In these terms and conditions:

1. “Billing” is the invoice’s amount paid by a buyer to a seller for an ordered job/service.

2. “Seller” means a user who is offering services/products on ketazo.com

3. “Buyer” means a person buying services/products from a Seller on ketazo.com

4. “Commencement of the job” means either the purchase of Job/Proposal/Offer in “Job Proposals” page by the Buyer or acceptance of a Buyer’s Job Request for a custom job by the Buyer in the “Job Requests” page.

5. “Content” means such items as data, text, photographs, videos, audio clips, written posts and comments, graphics, User content and interactive features generated, provided, or otherwise made accessible on or through ketazo.com.

6. “Job Category” means the type of Job proposed or requested by a User.

7. “Job Proposal” means a proposed service or product, that is offered on ketazo.com by a Seller for a fixed or negotiable price and delivered within fixed timescales.

8. “Job Request” means a request for service or product, posted by a Buyer on ketazo.com and one or more offers made by Seller(s) to the Buyer for that service or product;

9. Job” means a piece of work or service that a Seller and Buyer agree on via ketazo.com to be provided by the Seller to the Buyer.

10. “Guest” means an unregistered user of ketazo.com

11. “User” means any registered user of ketazo.com

12. “User Account” means a User’s account at the ketazo.com website (containing e.g. user’s information, profile, settings, activities, invoices, transactions)

13. “Dispute” means a dispute raised either by the Buyer or by the Seller in relation to a Job.

14. “Invoice” means a bill for a Job which is issued by ketazo.com in the “Job Agreement & Delivery” page or in the ketazo.com’s user account dashboard.

3. OUR SERVICE

KETAZO operates a web-based platform at ketazo.com linking freelancers or professionals that sell services to Individuals or other professionals. Via the Ketazo.com platform service vendors can connect with service buyers and exchange information about Job offers and Job Requests on the various assignments (jobs) to be delivered. The information and “Jobs” transmitted consist mainly of recording media such as photos, live or saved videos and audio files. Ketazo.com merely facilitates this provision of services between Sellers and Buyers and has no control on, nor does it interfere with the services provided. The individual terms of each service are determined by the parties involved.

4. USER STATUS

Upon your registration as a member of our website you guarantee that:

1. You are legally competent to enter into legal agreements.

2. You are over 18 years old.

3. You hold the legal rights to the content you upload on our platform or you have the required permission to use it.

4. In the event you are creating a company account on ketazo.com, you represent that you are the legal representative or an employee or an agent of the company, and you are authorized by that company to provide the required information and proceed to making and/or accepting payments on ketazo.com and such actions do not violate any applicable law.

5. USER ACCOUNT REGISTRATION

1. Anyone may have access and browse, as a Guest, the Jobs, the Job Proposals or the Job Requests, the Seller profiles and in general any information that Users have made publicly available on ketazo.com. However, in order to access the full services of ketazo.com and post a Job Proposal/Request or purchase an offer, Guests must register for an account, provide accurate and complete information, and keep their account information updated. More particularly, any Guest may register as: Buyer, Seller or Both (Buyer & Seller). Both Buyers and Sellers undergo the same account registration process which includes filling out the online form, email verification to the user’s given email address, selecting a username and password, define the country of residence and accepting the terms and conditions. Once registration is completed, Guests will become Users and will be able to access all the services of ketazo.com.

2. Each Guest may create only one User Account. Any additional account(s) will be disabled. Mass account creation will result in disabling all related User Accounts. Guests and Users may not buy or sell Ketazo.com accounts, such action may result to suspension of any User Account involved.

3. Each User Account must be a personal account, but Users may trade as a sole trader, company or any other legal entity (whether incorporated or unincorporated).

4. Each User is responsible for keeping its account information (username and password) safe. Ketazo.com retains the right to reject or terminate your User Account for not complying with these terms and conditions or subject to legal obligations.

5. Please note that we shall use the email address registered in a User Account as the main means of communication, therefore it is imperative for all Users to keep this contact information up to date.

6. User Account inactivity: User Accounts not active for a period of 2 consecutive years may be permanently deleted with all the data contained. Prior to taking such action, the User will be notified, at its stored email address, about the scheduled deletion and given the opportunity to resume activity on ketazo.com.

7. Closing a User Account: Any User may, at any time, choose to close his/her account using the option “Close Account”. Once the User selects this option a confirmation message will appear, aiming to confirm that closing the account is the User’s true intention and alerting the User that such action is irreversible and all data contained in the account will be deleted (with the exception of financial/tax data). User must ensure, before closing its User Account, that a proper back up of such data and transfer in another medium/platform has been performed prior to finalizing the process.

8. After the closing of a User Account all data will be permanently deleted, and it will not be possible to reverse it. All Users agree and understand that Ketazo bears no liability for any such data loss.

6. USER ACCOUNT OPTIONS

1. Account Type “Buyer”

i. When a User is registered as Buyer, he can view all available Job Proposals published by Sellers as well as post a Job Request. Sellers can send the Buyer an offer and they can start to negotiate for the delivery time, the price, the recording method to be used, the quality, etc.

ii. Buyers cannot post Job Proposals unless they change their account to type “Both”.

iii. Account Page: A Buyer must enter the following information (User ID and registration date are stored automatically):

A. Personal:

a) Nickname (mandatory)

b) Account Type (Buyer, Seller, Both); a User may change account type to “Both” at any time (mandatory)

c) Email (Mandatory)

d) Password (Mandatory)

e) First Name (optional but is required in order to post a Job Request or to respond to a Seller’s Job Proposal or to buy a Job)

f) Last name (optional but is required in order to post a Job Request or to respond to a Seller’s Job Proposal or to buy a Job)

g) Company Name (if it is a company account) (optional)

h) Full address (street, number, city, county-province, P.C., country). Only the country of residence is mandatory for the creation of the User Account. However, full address details are mandatory to enable the Buyer to post a Job Request, to send a message/offer for a Job Proposal or to buy a Job. Any change to the country of residence will be monitored by ketazo.com to determine if the Buyer is a resident of an EU country.

2. Account Type “Seller”

i. When a user is registered as Seller, he can post Job Proposals that he can deliver to potential Buyers. Sellers may offer Job Proposals to more than one Buyer unless they have posted the Job as "exclusive", i.e. the subject matter of this job can be delivered exclusively to one Buyer.

ii. A Seller can send offers and negotiate the price of a Job Request posted by Buyers.

iii. Sellers cannot post a Job Request unless they change their account to type “Both”.

iv. Account Page: A Seller shall enter the following information (User ID and registration date are stored automatically):

e) First Name (optional but is required in order to post a Job Proposal or to respond to a Job Request from Buyer)

h) Full address (street, number, city, county-province, P.C., country. All address details are mandatory in order to enable the Seller to post a Job Proposal, to send a message/offer for a Job Request of a Buyer. Any change to the country of residence will be monitored by the ketazo.com in order to determine the country of residence and the applicable, if any, GST or VAT (in case of an EU resident).

I. VAT

VAT Number or Tax ID Number (optional for account creation but mandatory in order to post a Job Proposal, communicate with a Buyer or send an offer to a Job Request by a Buyer). When Seller is an EU resident the VAT number is reviewed through the VIES system in order to determine whether the Seller is an individual subject to VAT or a VAT exempted professional/company and, the respective VAT rate appears on this page.

3. Account Type “Both”:

When a user is registered as both, they can perform any action either as Buyer or a Seller (post a Job Proposal, post a Job Request, etc.). The account “Both” enables all functionalities that a Buyer and a Seller have at the same time.

7. PAYMENTS

1. All payments are made through PayPal. KETAZO charges the Seller a commission fee equal to ten percent (10%) of every Job purchased and issues an invoice/receipt to Seller. This commission fee paid to Ketazo.com for every Job purchased is non-refundable even in the event that the original amount for the job is refunded to the Buyer for any reason, e.g. as a result of a dispute (see par. 12. DISPUTES).

2. When a Buyer (registered as "Buyer" or "Both") clicks on the "Buy" button to buy a Job (either at a fixed or at an agreed price), he/she is transferred to PayPal’s website to complete the payment.

3. When a payment of a Job is completed by the Buyer, the amount is automatically credited to the registered PayPal account of the Seller. At that point, a legal invoice is issued by KETAZO to the Seller for the commission amount (10%) that Seller is obliged to pay to KETAZO. Payment is also performed via the Seller's PayPal account to KETAZO’s Paypal account.

4. Ketazo.com automatically sends a notification email to both Buyer and Seller to inform them about the payment on the Job. Seller must verify that the agreed amount (price) has been credited to his/her PayPal account before delivering the Job.

5. If Seller is an individual, resident of a European Union, or if Seller is a company based in Greece, then the applicable VAT of the Seller’s country of residence must be added to the total amount of the commission, which Seller must pay to Ketazo.

6. Invoices: For every purchase, Ketazo shall charge a 10% fee and issues an Invoice to the Seller (invoice is delivered and available only to Sellers). In addition, an unofficial transaction notice is generated by the platform for the transaction between the Buyer and the Seller, available to both. The latter is an unofficial receipt that CANNOT be used for tax/legal purposes, but it is provided only for the parties’ records. Seller is solely responsible to issue a proper tax invoice/receipt for each transaction and send it to the Buyer. The unofficial transaction notice is automatically generated by the system immediately after the completion of Buyer's payment to the Seller. The legal invoice/receipt is generated after the payment of the commission from Seller to Ketazo.

7. VAT: Buyers and Sellers are solely responsible for exchanging invoice information and paying any direct or indirect taxes, including any GST, VAT or otherwise, which may apply to them depending on residency or business location. All Sellers must always comply with their obligations under income tax provisions in their jurisdiction. The price shown on any Job page is inclusive of all such taxes and charges that may apply to the Sellers. Seller is responsible for requesting all necessary financial information from the Buyer including the Vat or Tax Id number, in order to issue the invoice. For security reasons, KETAZO reserves the right to request a PayPal Account statement showing your PayPal registered name, email address and verification status.

8. Payment or attempt of payment for any Job posted on ketazo.com via means outside of ketazo.com constitutes a breach of the present Terms and Conditions. Such payment (or attempt thereof) will lead to temporary and/ or permanent suspension of the Buyer and/ or Seller 's account. The Seller will be liable for any loss of business and legal expenses of ketazo.com that may incur. Moreover, ketazo.com will not mediate any Disputes. Ketazo cannot be liable to either the Buyer or Seller's loss of business as a result of violation of this clause. Users must report attempts or offers to make payment outside of ketazo.com by their Buyer or Seller to ketazo.com immediately.

9. If a Seller is unable to complete the Job for any reason owned to his/her, he/she must refund the entire amount to the Buyer. However, in such cases the Seller shall not be refunded by ketazo.com for the commission paid.

10. By using any payment method and/or providing payment details for making purchases on ketazo.com, each User represents and warrants that: (a) he/she is legally authorized to provide such information; (b) he/she is legally authorized or have permission to make or receive payments using the payment method(s); (c) if the User is an employee or agent of an entity or the person that owns the payment method, he/she is authorized by that entity or person to use the payment method to make or receive payments on ketazo.com and (d) such actions do not violate any applicable law.

11. Any Dispute regarding payment on a Job agreed or delivered must be settled via the Disputes Procedure. In case a Buyer files a Dispute or reverses payment through their credit card provider, bank, or PayPal account without firstly open a Dispute at ketazo.com platform, it might be banned from the ketazo.com.

12. Cancellations: Once the Buyer and the Seller have agreed on the details of a job and the Seller has commenced work on such Job the Buyer may not request a cancellation and remains fully liable for the agreed compensation. The Seller and the Buyer are free to agree otherwise and determine specific conditions for cancellation, but such agreement must be documented clearly in the “job description” and their communication on ketazo.com messaging platform. These specific amendments shall not affect Ketazo’s fees.

13. In the event that a Seller fails to pay Ketazo the amount corresponding to the 10% commission for a job performed and paid by the Buyer via Ketazo.com, such Seller may be banned from Ketazo.com

8. JOB DELIVERY

1. Seller – Buyer relationship: The Buyer and the Seller freely decide on the details of the Job and determine its terms and conditions, including deliverables, delivery date, any specific requirements, and the price (if not fixed), directly with each other. That means that the Buyer and the Seller create a direct service contract between themselves and ketazo.com is not party to that contract.

2. The agreement between the Seller and the Buyer must be clear on the specific details on the job quality, delivery and timeline as well as determine the conditions upon which the parties may exercise their right to withdraw from the contract. Therefore ketazo.com strongly advise the Users to memorialize and document the agreement in the “job description” and their communication on ketazo.com messaging platform. Please note that, if a Job consists of a video, only YouTube videos are accepted. The videos must be uploaded to YouTube only as “unlisted videos”. They must never be uploaded as private videos. Sellers provide Buyers with the respective video electronic address through ketazo.com in order to ensure that these videos can only be viewed by people who have access to video address. It is up to the Seller and Buyer to determine, during the job negotiations, whether a video can be posted as “public” on YouTube.

3. Unless otherwise agreed in the contract between the Seller and the Buyer, ownership in and to any materials and/or deliverables arising from a Job and any intellectual property rights therein, will be assigned to the Buyer upon successful payment to the Seller. If the Buyer and the Seller wish to include any special or additional terms in the contract (for example, in relation to the ownership of the work produced, ownership of intellectual property rights, limitations of use or special rights of termination), the Buyer and Seller should negotiate and document these terms in the job description and their communication on the ketazo.com messaging platform.

4. Unless otherwise agreed in the contract between the Seller and the Buyer, the terms and conditions of each Job shall be deemed to incorporate a term that in consideration of the fee paid for the Job the Seller thereby assigns to the Buyer absolutely with full title guarantee the following rights:

  • the entire copyright and all other rights in the nature of copyright subsisting in the Job
  • any database right subsisting in the project Job and
  • all other rights in the Job of whatever nature, whether now known or created in the future, to which the Seller is now, or at any time after the date of Commencement of the job may be, entitled by virtue of the laws in force in the Greece and in any other part of the world,
  • in each case for the whole term including any renewals, reversions, revivals and extensions and together with all related rights and powers arising or accrued, including the right to bring, make, oppose, defend, appeal and obtain relief (and to retain any damages recovered) in respect of any infringement, or any other cause of action arising from ownership, of any of these assigned rights, whether occurring before, on, or after the date of Commencement of the job.

5. Seller has the right to present certain items of each Job as part of his/her portfolio and make them publicly available. The specific items must be determined in good faith between the Seller and the Buyer.

6. Sellers and Buyers declare that:

  • are able to pay for the Job Requests (Buyer) and perform the Job Proposals (Seller);
  • are not in breach of any applicable laws, rules or regulations or obligations to any other person.
  • have made and will make all required legal and tax filings and, generally, file all necessary legal documentation required by any governmental body, and pay all applicable taxes, including, without limitation VAT or GST;
  • shall not (and shall not permit any third party to) either take any action or upload, download, post, submit or otherwise distribute or facilitate distribution of any Content, Job, or Job Request on or through the services ketazo.com provides, including without limitation any User Content, that infringes any patent, trademark, trade secret, copyright or other right of any other person or entity or violates any law or contractual duty.
  • they own the copyright and Intellectual property rights or have obtained the legal license to use any item they upload on the ketazo.com website.

7. Users observe any law or regulation related to the protection of privacy and personal data of any persons depicted in photographs or the audiovisual material they upload and have obtained the necessary data subject consent where necessary. Should Sellers wish to use such material for their own purposes, they must consult with the Buyer so as to avoid infringing on the privacy right of persons depicted in the material.

8. If Buyers do not raise any complaints about the work delivered and change job status to “Completed”, ketazo.com and the Seller may assume that the Buyer is satisfied with the Job and does not have a reason to raise a Dispute of any kind in relation to the Job.

9. Users are responsible for scanning all files uploaded to ketazo.com for viruses and malware. Ketazo will not be held responsible for any damages which might occur due to site usage, use of content or uploaded files.

10. Users uploading Content to ketazo.com represent and warrant that they have all the rights therein and that the Content does not infringe any third-party rights. Ketazo.com cannot reasonably monitor all Content uploaded to the Service for appropriateness, violations of copyright, trademarks, other rights or violations. We therefore do not make any representations or guarantees for the rights granted hereunder to you.

11. We encourage all users to report alleged violations at legal@ketazo.com (or here) and provide proof of ownership or other supporting documentation. Content found to be infringing on the above rights or in violation of legal provisions and these Terms and Conditions may be removed or disabled. However, ketazo.com warns against abusive, unsupported or knowingly misrepresentative reports about alleged infringements, since such unfounded reports might result to ketazo.com’s suspending the reporting User Account and result in legal liability for the reporting User.

12. Furthermore, ketazo.com is not responsible for the content, quality or the level of service provided by the Sellers. We provide no warranty with respect to the Jobs Requests and Jobs Proposals, their delivery, any communications between Buyers and Sellers.

9. HOW IT WORKS

1. Seller – Posting a Job Proposal:

i. In order to post a Job Proposal, Sellers need to have filled out their full name, address and VAT no (in case they are EU residents) in their account. In case they have not already completed the relevant information, the system will alert them that they cannot proceed to post a Job Proposal until they fill out the missing data.

ii. In order for Sellers to post a Job Proposal, they must upload on the «Seller Proposals» page the details of the Job Proposal: title, category, recording method, location where the job will be executed, job description, job delivery date, main photo, execution date and execution time, duration. They can also upload any files related to this Job Proposal.

iii. The Seller can also choose whether:

  • The Job Proposal has a fixed price (defines price) or negotiable/ accepting offers from potential Buyers.
  • The Job Proposal will be exclusive or not. Exclusive Job Proposal means that Seller can sell a specific job only once and only to a single Buyer.

iv. As soon as the Seller posts a Job Proposal in the system or modifies an existing “open” Job Proposal (where “open” means a Job Proposal that has not been purchased yet), the Job Proposal is reviewed by the ketazo.com administrators to ensure that the Job Proposal does not contain illegal or inappropriate material (see below under 15). Once approved, the Job Proposal appears on the website, on the "Seller Proposals" page.

2. Sellers Job Proposals Page

i. In this section, all Guests and Users can view all Sellers’ postings/listings. Guests and Users can navigate through a detailed map choosing the category/categories they want and/or a specific location and/or distance in kilometers (define a radius around a specific location-city) and choose the Job Proposal they like in order to be redirected to its details page.

ii. When a Job Proposal is selected, its basic information, such as photo, job title, address, date and run time, recording methods, cost or indication that it accepts bids, nickname and date posted, will appear in a pop-up window. Clicking on “Read Details” the Guests and Users are directed to the “Job’s details” page.

3. Seller Job Proposals Details Page

i. Users can review a Job’s details and Seller’s details in the “Job’s details” page, and if they are registered as “Buyer” or “Both” they can purchase it right away or make an offer if that option is available and proceed to negotiate with the Seller. Users who have not registered as “Buyer” or “Both” can change their account to “Both” using the "Upgrade my account to “Both” Type" option in order to proceed.

ii. Job’s Details: Job title, category, address, description, recording methods, date and recording time, duration, main Job Proposal photo, digital map of the address where the recording will take place, map with most recent Seller’s location, project delivery date and whether this is an exclusive Job Proposal, date/time Job Proposal published on ketazo.com, total number of purchases by Buyers.

iii. Seller Details: nickname, photo, rating, number of completed projects and number of ratings received.

4. Sellers Page:

In this section, Guests and Users can view a list with all Sellers, review details in their profile (nickname, profile photo, area, covered categories, what type of recording method(s) they use, total number of completed jobs, rating and number of received ratings, active/inactive indicator). On this page Guests and Users can find a Seller of their choice based on various filters such as area covered, Job Category, recording method (e.g. photo, video, etc.), Seller Status (active or not), total number of completed Jobs, Seller rating etc. In addition, Guests and Users can view the Seller’s portfolio (i.e. completed and open Job Proposals) as well as a map showing the most recent geographical location which the Seller may have made publicly available, including the date and time of entry. Furthermore, if the Seller has created a “Both” user account, two separate tabs become available, one for the Jobs in which he/she has become active as a Seller and one for the Jobs he/she has been involved as a Buyer.

5. Buyer – Posting a Job Request

i. In order to post a Job Request the Buyers need to have filled out their full name and address in their account. In case they have not already completed the relevant information, the ketazo.com system will alert them that they cannot proceed to a Job Request posting unless they fill out the missing fields.

ii. In order for a Buyer to post a Job Request, the Buyer must upload on the Job Request page the details of the Job Request: title, category, recording method, location of the job, job description, job delivery date, execution date and execution time, duration. Buyers can also upload any files related to the Job Request. The Job Request will be visible to everyone (public) so that all users registered as Sellers can make their offers.

iii. The Buyer also can choose whether the Job Request will be exclusive or not exclusive. Exclusive Job Request means that all delivered files will be sent only to this Buyer –the Seller can’t sell those deliverables to other Buyers or third persons.

iv. The Buyer sets an available budget for the Job Request which can be adjusted pursuant το the individual agreement with the Seller.

v. As soon as the Buyer enters a Job Request in the ketazo.com system, the entry is reviewed by ketazo.com administrators to ensure that such Job Request does not contain illegal or inappropriate material. Once it is approved, the Job Request appears on the website, on the “Buyers Requests” page.

6. Buyers Job Requests Page

In this section, all Guests and Users can view all Buyers’ Job Requests (title, address, available budget, published date on ketazo.com) that they potentially can perform. Sellers may search through Job Request using different filters such as area covered and distance radius, category, recording method (e.g. photo, video etc), available budget, delivery date etc. Selecting a Job Request directs a User to the “Buyer Job Request Details” page.

7. Buyer Job Requests Details Page

In this section Users may find more information about any Job Request such as the title of the Job Request, category, address, description, recording methods, recording date and time, duration, related Job Request files (photos, documents, etc.), digital map with marker of the Job Request, available budget, delivery date etc. In addition, the basic Buyer profile information is available (e.g. nickname, photo, rating, number of ratings received, number of completed Jobs), as well as the date and time of the Job Request posting on the website and the number of available offers by different Sellers.

8. Buyer – Buy a Job Proposal or accept an offer for (Buy) a Job Request posted by the Buyer

i. For a Buyer to purchase a Job Proposal, Buyer must browse all Sellers’ Job Proposals from the main menu, navigate through the given map (or define a radius around a specific location-city), select category or multiple categories and choose the Job Proposal he prefers and either purchase it right away or make an offer, if the Seller has this option available and start a negotiation. Both parties are exchanging all Job Proposal messages using Ketazo’s messaging system. When they have reached an agreement over a Job the Buyer can proceed with the payment.

ii. A Buyer posts a Job Request and allows Sellers to send their offers and proceed to negotiations to reach an agreement. Both parties are exchanging all Job Request messages using Ketazo’s messaging system. When they have reached an agreement over the Job the Buyer can proceed with the payment.

iii. All Jobs are paid upfront via PayPal (see above under Payments). Once payment is completed a notification email will be sent to both parties.

9. Dashboard Page

Buyers and Sellers may review the total number of Jobs involved, total number of messages sent and received, total number of reviews and ratings. More specifically, Buyers may review the total number of favorite Sellers saved, the most recent messages/offers received, as well as the most recent unofficial transaction notices for recently completed Jobs. Sellers may also review the most recent messages/offers received, as well as the most recent official invoices issued by ketazo.com to the Seller.

10. JOB STATUS (Jobs Page)

1. Open jobs: When a job is listed as Job Request or Job Proposal (by Buyer or Seller respectively), its owner can view its details on the dashboard page (Jobs Page). The job’s status at this stage is “Open”. If a job is open, its owner can edit its details or delete it entirely.

2. Purchased Jobs (i.e. listed Jobs in status other than "open"

In case of a Job (purchased job), both the Buyer and the Seller can view its details in their dashboard page (Jobs Page).

Pending Job: Pending Job is a Job in progress. Both parties can view its details, but they cannot edit it. The information contained herein is:

i. The Job Agreement Overview (Job Agreement ID, Buyer’s nickname, Seller’s nickname, current status, Cost, Date/Time of payment,). Only the Seller of a pending Job can click the button to update the status to «delivered» and can see the fees paid to ketazo.com.

ii. The messages exchanged between Buyer & Seller

iii. The delivered files (only the Seller can upload files with description and recording method)

iv. The delivered videos (only the Seller can set YouTube videos with description)

v. The Seller’s submitted locations (digital map with locations voluntarily submitted by the Seller so the Buyer can see he is delivering the Job with date/time on digital map)

vi. Any Disputes (any of the 2 parties can open a Dispute while Job status is not completed yet)

vii. All invoice and transaction notices (unofficial receipts - the Ketazo.com invoice to the Seller is available only to Sellers)

Every time the Job’s status is changed an informative email is sent to both parties:

Delivered: is a Job when the Seller has finished the Job and uploaded the agreed files (photos, videos, etc.). Both parties can view its details as well as the job agreement & delivery details, which contains all the steps for the Job until its completion (“a to h” as mentioned in Pending Jobs). Sellers may not edit delivered Jobs or delete any of the uploaded files.

Completed: is a Job that has been delivered and the Buyer has confirmed that he/she has received the agreed files and the Job meets his/her requirements. Both parties can view its details (as well as the job agreement & delivery). Sellers may not edit completed Jobs or delete any of the uploaded files. Once a Job’s status turns to “Completed” a Dispute may no longer be raised. Moreover, when a Job’s status is changed to “Completed” both Buyer and Seller can write a short review text and rate the other party (on a scale of 1-5 stars rating).

In Dispute: In case there is a problem with the delivered files and/or payment and/or there is poor or no communication between Seller and the Buyer, any party to this transaction can open a Dispute under the procedure described below under 11.

11. QUALITY (Deliverables’ Standards)

1. All Sellers on ketazo.com must strive to deliver a high standard of work, appropriately meeting their Buyer's needs. Specifically, Sellers must ensure that all deliverables are:

  • error free.
  • fully address each of the Buyer's defined requirements.
  • a complete set of deliverables as defined in the Offer description or as agreed in the job description as part of the requirements for custom projects.
  • of a standard consistent with the level of expertise indicated in the Seller's profile and Job Proposals.

2. All files that are going to be delivered (photos, videos, audio files, etc.) must follow some minimum standards and limits as these are described in these present Terms and Conditions of ketazo.com. Specifically:

3. Types of files that are allowed to be uploaded to and suported by ketazo.com are:

  • .txt, .doc, .docx, .xls, .xlsx, .csv, .pps, .ppsx, .ppt, .pptx, .pdf, .mid, .mpg, .mp4, .oga, .au, .wav , .wma

Maximum size for each file regardless of file type is 10MB.

Please note that relevant files in Job Proposal Post and Job Request Post are excluded from these specifications and the maximum size for each file in a proposal/requests is 5MB.

12. DISPUTES

1. KETAZO encourages our Sellers and Buyers to try and resolve any disagreements between themselves. However, should that not be possible, the following procedure will apply. Please note that all Disputes must first be raised within ketazo.com and if no amicable resolution is reached then escalate the case to PayPal as described below. Every Disputed Job status is indicated by four (4) Dispute Statuses: Open/Pending, Resolved, Escalated to PayPal, Completed after PayPal resolution.

2. A Dispute can be raised by the Buyer on ketazo.com if he/she believes that the deliverables provided by the Seller do not meet the agreed items (based on the job description and the messages exchanged between the parties as to the delivery date, the quantity and quality of the deliverables etc). Once a Buyer opens a case it appears on the “Disputes” Page. A case may be opened when a Job is in "Pending" or “Delivered” status and ketazo.com automatically notifies via email both parties (Buyer & Seller). When a new dispute is opened it automatically enters the «Dispute Status : Open/Pending».

3. Only the Buyer who opened the case may change the status of the case to “Resolved” when the parties have managed to settle the Dispute without having Paypal involved. If the Buyer changes the status of the Dispute to "Resolved" then the status of the Job is automatically turned to "Completed" and both parties can rate and provide a review for the given Job. Also, when the Dispute becomes "Resolved" the parties will no longer be able to exchange any Dispute-related communication.

4. If no settlement can be achieved through the ketazo.com Disputes procedure, the Buyer may escalate this to PayPal. An "escalated to Paypal", status means that the Buyer has opened a dispute in Paypal regarding the specific transaction.

5. When the dispute has been completed by PayPal, the Buyer must inform ketazo.com about the outcome in order to change the status of the dispute to "Completed" and change the status of the Job. If a Buyer is vindicated by Paypal, then the amount paid to Seller for the Job is automatically refunded. The commission fee of 10% owed and paid to ketazo.com is non-refundable.

6. If a Dispute is resolved in favor of the Buyer, it will negatively affect the Seller’s account and ketazo.com will issue a warning. Ketazo.com retains the right to suspend/terminate the Seller’s account after the Seller’s receiving two(2) warnings per year and three (3) warnings overall.

7. If a Buyer initiates a Dispute and achieves a refund through the credit card provider, bank or PayPal without first raising a Dispute within ketazo.com according to the current Terms and Conditions might be banned from the KETAZO platform.

8. Every time the status of the case changes, a notification email is sent to both parties (Buyer & Seller).

9. Ketazo.com is in no case responsible for refunds or the financial dealings of the Parties since all transactions take place on PayPal and not on ketazo.com.

13. REVIEWS AND RATINGS

1. When a Job is completed, both parties can rate each other on a scale of a 1 to 5-star rating along with a brief review. Review for the specific Job can be found in the job agreement & delivery section.

2. Under the “Reviews and Ratings” page, all Users may access ratings and reviews they have received by other Users for previous Jobs or reviews and comments they have posted themselves.

14. MESSAGES

1. All communication between the Buyers and the Sellers relating to provision of services, job delivery messages, notices etc. shall take place on ketazo.com’s messaging platform. Requesting or providing personal contact information in order to communicate outside ketazo.com regarding a job, is not permitted. Any necessary exchange of personal information required to continue a service may be exchanged within the “Job Agreement & Delivery” Page

2. Only the Buyer, the Seller and the ketazo.com administrators, have access to the messages.

3. Each time a party sends a message the recipient receives a notification email.

4. Messages cannot be deleted by any of the parties except by the ketazo.com administrators. Ketazo.com’s administrators may also communicate with Buyers or Sellers regarding a job. Such messages will also appear on the respective “messages” page.

5. All parties should address any issue in good faith and with the appropriate language. Improper contact and abusive language, violent and insulting messages may result in a User Account suspension or removal.

6. Messages may also be used for direct Job Proposals or Job Requests between Sellers and Buyers or counteroffers on posted Job Proposals or Job Requests. When a Job is agreed through messages the Buyer will be able to click on “Buy” button and proceed the payment of the Job.

15. USER RESPONSIBILITY- PROHIBITED ACTIVITY

1. Guests and Users may not use the ketazo.com website in any way that breaches the applicable legislation, statute, ordinance or regulation. Ketazo.com reserves the right to revoke or modify the functions and services of the website without notice or liability.

2. Guests and Users are not allowed to (not exhaustive list):

i. post or exchange material relating to adult services and/or adult oriented material –pornography.

ii. post Job Requests or Job Proposals that violate any law, statute, ordinance or regulation or solicit illegal services or relate to Job Requests or Job Proposals that reveal the personal information of third parties in violation of applicable law.

iii. use defamatory, threatening, abusive, discriminatory in any way language, or act in any way that violates the privacy rights or harms in any way any other person.

iv. promote discrimination against a community member based on gender, race, age, religious affiliation, sexual preference or otherwise

v. use the Service and/or Website for the storage, publication and/or transmission of "junk mails", chain letters, unsolicited bulk e-mails, etc., or for any other purpose ("spamming").

vi. impair or endanger the existence or operation of ketazo.com, perform electronic attacks of any kind on the ketazo.com website.

vii. collect personal data of persons below the age of 18 without the legal consent by the parent/guardian.

viii. perform, promote or support illegal activities, or use the webpage in any illegal or unlawful manner.

ix. violate intellectual property rights of KETAZO or third parties, or

x. harm KETAZO and/or its Guests or/and Users in any way.

Guests and Users are only allowed to access the website for legitimate purposes and in a manner that does not impede the proper operation and access of the other Guests or Users. All Guests and Users should not use our electronic services knowingly introducing viruses, trojans, worms, logical bombs, or other malicious material or any other harmful component, or otherwise tamper with or cause damage to website or any connected network, or otherwise interfere with any person (user) or entity using the website. Also, unauthorized access to website, the server on which it is stored, or any server, computer or database associated with the website is prohibited.

3. Guests and Users may not submit proposals or solicit parties introduced through Ketazo.com to contract, engage with, or pay outside of Ketazo.

4. Guests and Users are not allowed to create a false identity on Ketazo.com, misrepresent their identity, create a Ketazo profile for anyone other than their self (a real person), or use or attempt to use another User’s User Account or information.

5. Guests and Users represent and warrant to Ketazo.com that by using the ketazo.com service they do not and will not impersonate any other person on the services, e.g. a representative of Ketazo or any other person responsible for the services, or impersonate any non-existent relationship with such persons;

6. Guests and Users may not assign, change or otherwise tamper with these Terms and Conditions.

7. If any Guest or User is found in violation of the present Terms and Conditions, Ketazo reserves the right to immediately suspend its access to ketazo.com and pursue the appropriate legal action.

16. REPORTING VIOLATIONS

1. If any Guest or User come across any content that may violate our Terms and Conditions, he/she should report it to us through the appropriate channels created to handle those issues at here or email legal@ketazo.com. To protect individual privacy, the results of the investigation are not shared. You can review our Privacy Policy for more information.

2. Guests and Users can report listings to ketazo.com either:

i. for inappropriate content or any other content in violation of these Terms and Conditions, or

ii. for infringement of intellectual property rights by listings containing audiovisual material or any other content to which they claim ownership.

3. A report will be review and investigated and if a listing is found to be inappropriate or in violation of these Terms and Conditions, it will be deleted and, depending on the case, the user account may be blocked or other appropriate legal action may be taken. If the report claims infringement of intellectual property rights, the listing remains active on the website pending the investigation and will be taken down if such infringement is confirmed.

4. In any case of violation, Users shall receive a warning for violations of our Terms and Conditions. Warnings do not limit account activity but can lead to a User account losing its Seller status or becoming permanently disabled based on the severity of the violation.

5. If it is determined that a User systematically submits unfounded, unsupported, or abusive, knowingly misrepresentative reports, KETAZO reserves the right to terminate that user's account.

17. PERSONAL DATA

We are committed to protecting your personal data. Please read our Privacy Policy for more information. The Privacy Policy is an integral part of these Terms and Conditions and describes the type of personal data we collect, and how we process and protect them.

18. EXTERNAL LINKS

1. We might provide links to other websites but we cannot be held liable for any other organization or external partner on any product or service they offer since such links are used as a convenience and for informational purposes only. Providing a link to a third-party website does not imply that ketazo.com endorses the organization(s) providing them, agrees, approves or controls the content or the information/products or services provided on these third-party sites.

2. Guests and Users may visit such websites and access the information contained therein at their own risk and are advised to check any third-party website or/and services and its privacy policy beforehand.

3. Consequently, whatever data our Guests and Users disclose to such third parties, companies, associates, websites, they do so at their own risk and we hold no liability for breach of confidentiality of their data or for inappropriate use.

19. INTELLECTUAL PROPERTY RIGHTS

1. The entire content of the website, including texts, graphics, user profiles, photographs, commercial trademarks, logos, the website source code, the platform, the databases and any other data, as well as the total know-how and anything else related to the design, creation, construction, operation or methodology, (all together referred as "Content") and arrangement of such Content are intellectual creations, which are protected by the relevant Greek and EU legislation (and similar laws in other countries) and belong to Ketazo. We hold all rights, titles, and any interests related to the content of this website or any part of it. Please note that you may only use the website content “as is” and in accordance with the terms and conditions herein. In order to access and use our platform, each user is granted a non-exclusive, nontransferable, limited right to access, temporarily upload to the cache memory of its device, use and view the website. This right applies exclusively to the natural person who visits and uses the website for personal and noncommercial use only, if he/she fully complies with these Terms and Conditions.

2. No Guest or User may alter, resell, deliver, distribute or otherwise exploit any Content (in whole or in part) without the specific prior written consent of KETAZO. Additionally, no Guest or User may: (a) use or copy the Content and / or any material from the ketazo.com website to another web site, or physical store, application or any other electronic or non-electronic presentation, and b) present or embed (embed, framing etc.) the website or any part thereof on another website or any application of any third party without ’s prior agreement.

3. We are not liable for the content, information, pictures or any other type of file or data that come from any links, external associates, promotions, or partners displaying goods or services in our website.

4. Users are the sole proprietors of their own content saved in their registered accounts. Aside from whatever is permitted in the terms and conditions herein, users have no right to copy, reproduce, publish, rewrite, or reuse any part or the whole of this website. Users are free to publish their own materials, pictures or data if they bear full liability for these.

20. LIMITATION OF LIABILITY

1. In no event shall KETAZO will be liable for any direct, indirect, special punitive, incidental, exemplary or consequential damages, arising out of or in connection with the use inability to use or performance of the information, services, products and materials available on this site. If the foregoing limitation of liability is held to be unenforceable, the Company is only liable for significant lack of diligence in the case of delay in delivering the services it provides itself through the Site. The KETAZO’s maximum liability under, arising from or in connection with the provision of the services under these terms, whether arising in contract, tort (including negligence) or otherwise, shall not exceed the actual amount paid by the User.

2. Our website is provided "as is". Our Guests and Users understand that our website and platform is hosted on computerized systems in the cloud and although ketazo.com has adopted all necessary and generally accepted security measures, it cannot guarantee that no technical issue may occur, hence we cannot accept any responsibility for its availability and security. Ketazo.com bears no responsibility for any technical issues which the users may face when trying to access the website or during their browsing on it, which are related to the performance or compatibility of their own infrastructure with the website. In addition, the website bears no responsibility for the actions or omissions of third parties, and for a third party’s unauthorized interference in the products/services and/or information which are provided through the ketazo.com’s platform.

21. FORCE MAJEURE

1. KETAZO will not be liable or responsible for any failure or delay to perform any of our obligations under this contract as a result of events beyond our reasonable control (Force Majeure Event).

2. A Force Majeure Event includes any act, event, omission or accident beyond our reasonable control and includes (without limitation) the following:

i. Strikes, lockouts, slowdowns, prolonged shortage of energy supplies.

ii. Social unrest, riots, invasions, terrorist attacks or threats of terrorist attacks, war (whether declared or not) or threat or preparation for war.

iii. Fire, explosion, storm, flood, earthquake, epidemic, pandemics or other natural disaster.

iv. Inability to use public or private telecommunication networks.

v. Decrees, legislation, regulations, restrictions or acts of state or any governmental action prohibiting or impeding us from performing our respective obligations under the contract.

3. Our performance may be suspended for the period of the Force Majeure, and we will have an extension of time for performance during this period. We will make every effort and use all reasonable means to perform through the event of Force Majeure or to find a solution by which our obligations can be fulfilled despite the Force Majeure event.

22. INDEMINIFICATION

You agree to defend, indemnify and hold Ketazo and its affiliates harmless from and against any and all claims, damages, liabilities, losses or demands arising out of or in connection with (i) your use and access to the ketazo.com website and/or services; (ii) your violation of these Terms and Conditions; (iii) infringement of third party rights (copyrights, trademark rights, personal rights, etc.) by you or your Content. The indemnity obligation includes the reasonable costs of legal defence, in particular lawyer's fees, necessary to defend against such claims.

23. APPLICABLE LAW

These Terms of Use are governed by the law of Greece. Any dispute or claim arising out of access to and use of the website, that cannot be settled amicably, will be settled by the competent Courts of Athens, Greece, applying the laws of Greece.

24. CHANGE OF TERMS

1. We reserve the right to revise and amend these terms and conditions at any time in order to reflect any potential changes within market conditions that affect our business, changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements and/or changes in the capabilities of our system. You understand and agree that if you use Ketazo after the date on which the Terms and Conditions have changed, Ketazo will treat your use as acceptance of the updated Terms and Conditions.

2. Any Guest or User is subject to the policies and terms and conditions in effect at the time he/she uses the ketazo.com website. We will notify our Users of any significant change in our policies or these Terms and Conditions by e- mail and post updated Terms and Conditions on our website at www.ketazo.com/terms.asp.

3. These present Terms and Conditions as well as our contractual relationship with the Users cannot change in any way by any subsequent terms and conditions issued by the Guests and Users and they can only be modified by KETAZO.

25. APPLICABILITY– SEVERABILITY

1. These Terms and Conditions describe the final binding agreement between ketazo.com and its Guests and Users. If any section or sections of these Terms are held to be invalid, illegal, unenforceable, or in conflict with the law of any jurisdiction, such holding shall not in any way affect the enforceability of the remaining sections.

2. Unless explicitly stated, these Terms and Conditions, as well as any rights granted herein, may not in any case be subject to transfer or assignment without the prior written consent of Ketazo.com. Ketazo.com reserves the right to transfer and/or assign the rights granted herein without any further notice of any kind.

3. In case a Guest or User disagrees with these Terms and Conditions, he/she should not use our ketazo.com website.
